These terms set the ground rules for using Doculate. They are written for a service that helps people turn source material into traceable, versioned documents, not for a black box that replaces their judgement.

Doculate can surface evidence and draft material, but automated output can be incomplete or wrong. You remain responsible for the final document and its use.
Citations, version history, and checksums improve provenance. They do not independently prove that a source is accurate, current, lawful, or complete.
Doculate is operated by Anphase Limited, a company registered in New Zealand and based in Auckland. In these Terms of Service (the Terms), we and us mean Anphase Limited, and you means the organisation or person using the service. Contact details are on the Anphase website.
By accessing or using the Doculate website, workspace, APIs, document processing, exports, or related services (together, the Service), you agree to these Terms and our Privacy notice. If you do not agree, do not use the Service.
If you use the Service for an organisation, you confirm that you have authority to bind it. In that case, “you” includes that organisation.
You must be legally able to enter into these Terms. The Service is not directed to children under 16. If you are under the age of majority where you live, you may use it only with permission from a parent or guardian.
You must provide accurate access information, keep credentials confidential, and promptly tell us if you suspect unauthorised use. You are responsible for activity carried out through your access unless it results from our failure to use reasonable care.
During a private preview, access may be personal, limited, and non-transferable. Do not share preview credentials or attempt to extend access to another person without our written permission.
Doculate helps ingest source documents, extract and organise evidence, compare claims, create document editions, keep version lineage, answer questions over selected material, and export documents with supporting provenance. Features may be labelled preview, beta, experimental, or otherwise unfinished.
We may add, change, limit, or discontinue features as the Service develops. We will try to give reasonable notice where a material change would significantly reduce a paid service you are using, but we do not promise that every feature will remain available or compatible with every source format or integration.
You are responsible for your devices, connectivity, source quality, review process, backups of material you cannot afford to lose, and decisions made from documents produced through the Service.
Your Content means files, source material, prompts, instructions, annotations, attestations, corrections, and other information you submit, together with documents generated specifically for you from that material. As between you and Doculate, you retain ownership of Your Content.
You grant us a limited, non-exclusive, worldwide licence to host, copy, parse, transform, transmit, display, and otherwise process Your Content only as needed to provide, secure, maintain, and support the Service, comply with law, and enforce these Terms. This licence ends when the relevant content is deleted from our systems, subject to reasonable technical retention, backups, and legal obligations described in our Privacy notice.
You confirm that:
Third-party sources remain owned by their respective owners. A citation or stored copy does not grant you additional rights in that material.
Some features use automated extraction, retrieval, ranking, or generative AI. Those systems can misread a source, miss context, produce an unsupported inference, or return material that is inaccurate, incomplete, outdated, or unsuitable for your purpose.
Doculate does not provide legal, medical, financial, employment, immigration, accounting, compliance, or other professional advice. Answers over legislation, policies, product terms, or similar reference material explain what selected sources appear to say. They are not an authoritative statement of your rights, obligations, eligibility, or outcome.
You are responsible for the final form and use of every document. Do not use generated material as the sole basis for a decision that could significantly affect a person's rights, safety, employment, housing, credit, education, or access to essential services.
You must use the Service lawfully, respectfully, and in accordance with our Acceptable Use Policy. Among other things, you must not interfere with the Service, bypass safeguards or limits, upload malicious or unlawful content, violate privacy or intellectual-property rights, or use Doculate to deceive or harm another person.
We may investigate suspected misuse and remove content, restrict features, or suspend access where reasonably necessary to protect users, third parties, the Service, or the integrity of its evidence system.
The Service relies on third-party infrastructure and may connect to services such as cloud drives, repositories, document parsers, email providers, and AI APIs. Your use of a connected third-party service remains subject to that provider's terms and privacy practices.
You authorise us to request and process the material you choose through a connector. You are responsible for maintaining permission to that material and for disconnecting access you no longer want. We are not responsible for a third-party service's availability, changes, content, or independent actions, but we remain responsible for our own handling of information received from it.
Some versions of the Service may be free or offered as a private preview. If we introduce a paid plan, we will show the price, billing period, included usage, taxes, renewal terms, and cancellation method before you commit to payment.
Unless stated otherwise at purchase, recurring plans renew until cancelled. Price changes apply only after reasonable advance notice and not before the next renewal. Refunds are provided where required by law or under the terms shown at purchase. Nothing in these Terms limits rights that cannot lawfully be excluded.
You may stop using the Service at any time and may request deletion as described in the Privacy notice. We may suspend or terminate access where we reasonably believe there is a security risk, unlawful activity, material breach of these Terms, risk to another person, prolonged non-payment, or a legal requirement.
Where practical, we will give notice and an opportunity to remedy the issue. Immediate action may be necessary for urgent security, safety, integrity, or legal reasons. Provisions that by their nature should continue, including ownership, payment obligations, disclaimers, liability limits, and dispute terms, survive termination.
We will provide the Service with reasonable care and skill. Except for rights and guarantees that cannot be excluded, the Service is provided “as is” and “as available”. We do not guarantee uninterrupted access, error-free processing, preservation of every file, a particular result, or that generated material is accurate, complete, current, non-infringing, or fit for your purpose.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, business, goodwill, or anticipated savings. This exclusion does not apply where the law does not allow it.
To the maximum extent permitted by law, our total liability arising from the Service or these Terms is limited to the greater of NZ$100 and the amount you paid us for the Service in the 12 months before the event giving rise to the claim. This limit does not apply to fraud, wilful misconduct, or liability that cannot lawfully be limited.
If you acquire the Service in trade for business purposes, and both you and we are in trade, the parties agree to contract out of the New Zealand Consumer Guarantees Act 1993 to the extent section 43 permits and it is fair and reasonable to do so. If you use the Service as a consumer, nothing in these Terms limits your non-excludable consumer rights.
We may update these Terms as the Service or law changes. We will post the new version and update the date above. If a change materially affects your rights, we will take reasonable steps to notify you. Continued use after the effective date means you accept the updated Terms.
These Terms are governed by the laws of New Zealand, without regard to conflict of law rules. The courts of New Zealand have non-exclusive jurisdiction. Before filing a claim, please contact us so we can try to resolve the issue informally.
You may not transfer these Terms without our consent. We may transfer them as part of a genuine reorganisation, financing, sale, or transfer of the Service, subject to applicable privacy law. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be adjusted only as much as needed and the remaining provisions stay effective.
These Terms, the Privacy notice, the Acceptable Use Policy, and any plan-specific terms shown at purchase form the agreement for the Service, unless we sign a separate agreement with you. Questions can be sent to doculate@anphase.co.nz.
